Terms & Conditions
As a registered sponsor or exhibitor ("Exhibitor") in AKUVO Conference 2025 (the "Event"), you agree to these terms and conditions (collectively, the "Agreement") with AKUVO, LLC ("AKUVO").
1. Exhibitor Requirements:
Registration Information. Attendee Exhibitor agrees to provide accurate and complete registration information. Any changes to the registration details must be communicated promptly to AKUVO.
Admittance. Your registration entitles you only to admittance to the Event. All other costs associated with your attendance (e.g., travel and accommodation expenses) shall be covered solely by you, and AKUVO shall have no liability for such costs.
Representatives. Exhibitor representatives are limited to employees of the exhibiting company. Exhibitor shall not permit in its booth a non-exhibiting company representative. Exhibitor shall staff its booth during all open Event hours. Exhibitor agrees to always wear Exhibitor badge in Event areas. You agree not to share, transfer, sell, or trade your badge. If you violate this policy, AKUVO may cancel your registration and retain any payments.
Booth Location: Space assignments will be made only after acceptance of these terms and applicable booth fees. After assignment, space location may not be changed, transferred, or canceled by Exhibitor except upon written request and with the subsequent written approval of AKUVO. Notwithstanding the above, AKUVCO reserves the right to change location assignments at any time.
Branding. By participating in the Event, Exhibitor grants the Event ability to use, display and reproduce the name, trade names and product names of Exhibitor in any Event directory (print, online or other media) listing the Exhibiting companies at the Event and to use such names in Event promotional materials. AKUVO shall not be liable for any errors in listings or descriptions or for omissions.
Use of Likeness. By attending the Event, you grant AKUVO the right at the Event to record, film, photograph, or capture Exhibitor’s booth, exhibited items and personnel in any media and to distribute, broadcast, use, or otherwise disseminate, in perpetuity, such media without any further approval from or any payment to you.
Installation and Removal. AKUVO shall have the right to exclude or require modifications of any Exhibit, which in its sole discretion, it considers unsuitable. Installation of all exhibits must be fully completed by the end of installation hours as communicated by AKUVO prior to the Event. Early removal of exhibits is not allowed. No exhibit shall be packed, removed, or dismantled prior to the closing of the Event.
Care of Space. Exhibitor shall not injure or deface any part of the Exhibit Area. If Exhibitor causes any such damage, Exhibitor shall be liable to the owner of the property so damaged.
2. Fees:
Payment. Applicable fees are due upon registration or in accordance with invoice terms. If payment is insufficient or declined for any reason, AKUVO may refuse to admit you and shall have no resulting liability.
Fee Adjustments. Once you have registered, your fees will not be adjusted downward based on any sponsorship, discount, or any other reason.
Cancellations. Exhibitor recognizes and acknowledges that AKUVO will sustain certain losses if Exhibitor cancels its exhibit space after it has been assigned and confirmed. Due to the difficulty, if not impossibility of determining and proving said losses, Exhibitor agrees to pay the following amounts as liquidated damages, and not as a penalty, if Exhibitor cancels all or part of its exhibit space on or within the time periods specified below:
Before June 30, 2025, 50% of registration fees
June 30, 2025, or after, 100% of registration fees
Substitution of Representatives. Ticket transfers to other individuals from your organization are possible. Conference materials impacted by a substitution are unable to be changed after July 31, 2024.
Electrical, Audio/Visual and Shipping. All fees for electrical, audio/visual and shipping will be paid by you and are not included in your registration fee. AKUVO will provide additional information on how to procure these items from the hotel and FedEx.
Cancellation of event. If for any reason beyond AKUVO’s control, including but not limited to, fire, earthquake, explosion or other casualty, riot, or civil commotion, act of government or governmental instrumentality (whether federal, state or local), war, act of terrorism, failure of performance by a common carrier, failure in whole or in part of third party technical facilities (e.g., an Internet hosting company), act of God, epidemic, pandemic or any other cause beyond the reasonable control of such party (a "Force Majeure Event"), AKUVO may postpone cancel the Event. If a cancellation occurs of such event (not a Postponement), AKUVO shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue thereof, and Exhibitor waives claims for damage arising there from. Upon a cancellation, AKUVO may credit or refund to Exhibitor no more than a prorated amount of Exhibitor’s total cost of participation paid after deducting all expenses and reasonable compensation to Event. In no case, shall the amount of any credit or refund exceed Exhibitor’s total cost of participation actually paid.
Postponement of Event. If for any reason the location or dates of the Event should be changed, no refund will be due to Exhibitor. AKUVO will re-assign exhibit booth space to Exhibitor, and Exhibitor agrees to use exhibit booth space under the terms of this contract. AKUVO shall not be financially liable or otherwise obligated if the Event is relocated or postponed.
3. Liability and Insurance
a) All property of Exhibitor remains under its custody and control in transit to and from the Event, during installation and removal, and while it is within the confines of the Event. Neither AKUVO, the service contractors, staff members, or directors of any of the same are responsible for the safety of the property of Exhibitor from theft, damage by fire, accident, vandalism or other causes, and Exhibitor expressly waives and releases any claim or demand it may have against any of them by reason of any damage to or loss of any property of Exhibitor, except where the damage or loss is due to the gross negligence or willful misconduct of the persons mentioned above.
b) Exhibitor understands that AKUVO does not carry business interruption and property damage insurance coverage for loss or damage of Exhibitor’s property. Exhibitor agrees to obtain adequate insurance during the dates of the Event including move-in and move-out days, in commercially reasonable amounts and with commercially reasonable deductibles, and shall be prepared to furnish certificates of insurance to AKUVO if requested.
4. Miscellaneous:
Conflicting meetings and social events. In the interest of the entire Event, Exhibitor agrees not to extend invitations, call meetings, or otherwise encourage absence of attendees, exhibitors, or invited guests from the educational sessions during the official hours of the sessions or the Event.
Security. AKUVO will exercise reasonable care for the protection of exhibitor’s materials and displays. Beyond this, AKUVO will not be responsible for the safety of the exhibitor, his agents, employees or display from theft, damages by fire, accident, or any other cause.
Errors and Omissions. AKUVO assumes no responsibility or liability for any of the services performed or materials delivered by official Event contractors or other suppliers to the Event, their personnel, or their agents. Any controversies which may arise between Exhibitor and official contractors or union representatives, or personnel of either, on the Event premises shall be referred to AKUVO for resolution, and AKUVO’s decision shall be final and binding.
